Overview
These Terms of Use ("Terms") govern the use of the products, services, technologies, and functionalities related to non-custodial crypto payment processing infrastructure (the "Services") offered by Halfin ("Halfin", "we", "us", or "our") through the website at https://thehalfin.com (the "Website"), the API, the merchant dashboard, hosted checkout pages, and any other means.
A copy of these Terms is always available on the Website's legal page.
Eligibility
The Services are intended exclusively for business clients ("Merchants") that are duly registered legal entities, have completed Know Your Business (KYB) verification, and are not located, incorporated, or ordinarily resident in any of the jurisdictions listed in the Restricted Countries policy.
These Terms also apply to individuals ("End-Users") who interact with Halfin-powered checkout interfaces — including payment widgets, hosted checkout pages, QR codes, payment links, or similar tools — when completing a transaction with a Merchant. End-Users are presented with a reference to these Terms before completing a payment and accept them by proceeding with the transaction.
No End-User account or registration is required. The relationship between Halfin and the End-User is strictly limited to the technical facilitation of that single payment. Halfin bears no responsibility for the goods or services provided by the Merchant. Any dispute, refund request, or claim relating to those goods or services must be raised directly with the Merchant.
We may, at our discretion, modify eligibility criteria and the list of supported jurisdictions without prior notice.
Use of the Services by Merchants is subject to:
- Successful completion of KYB and onboarding.
- Execution of a separate Merchant Services Agreement.
- Ongoing compliance with these Terms, the AML Policy, the Restricted Countries policy, and the Restricted Activities policy.
Description of the Services
Halfin provides non-custodial crypto payment infrastructure that allows Merchants to:
- Generate fiat-anchored invoices payable in supported cryptocurrencies.
- Embed a hosted checkout page or accept payment via links and QR codes.
- Receive funds directly to wallet addresses they control.
- Send single, batched, or programmatic (machine-to-machine) crypto payouts.
- Reconcile transactions through the merchant dashboard, API, and webhooks.
Service characteristics
Non-custodial nature. Halfin does not hold, custody, or take title to Merchant or End-User funds at any point. Payments flow on-chain from payer wallets to Merchant-controlled destination wallets, with Halfin acting solely as the technical and software layer that resolves invoices, routes notifications, and provides accounting and reconciliation tools. Halfin does not operate a hosted wallet, brokerage, or exchange.
Supported chains and assets. The current list of supported networks and tokens is published on the Website. Halfin may add, remove, suspend, or restrict support for any chain or token at any time, based on internal risk review, regulatory changes, technical considerations, or third-party dependencies. Sending unsupported tokens, sending from incompatible smart contracts, or sending to incorrect addresses may result in irreversible loss of funds, for which Halfin is not responsible.
Third-party dependencies. The Services rely on third-party infrastructure including blockchain networks, node providers, liquidity venues, KYB and sanctions screening vendors, and hosting and CDN providers. Halfin is not responsible for the availability, performance, or accuracy of such third-party systems. Service interruptions caused by third-party failures may affect transaction processing.
Tiered access. Some features — including but not limited to higher payout limits, M2M settlement, and certain corridor routes — may be restricted or delayed pending enhanced due diligence, real-time compliance checks, or third-party service availability.
No financial advice. Information published on the Website, in the API documentation, in the dashboard, or otherwise made available through the Services is provided for informational purposes only and does not constitute financial, investment, legal, tax, or accounting advice. Merchants are solely responsible for assessing the suitability of the Services for their business and for obtaining independent professional advice where needed.
Merchant account and onboarding
To use the Services, a prospective Merchant must:
- Register an account through the Halfin dashboard.
- Submit accurate, current, and complete business and beneficial ownership information.
- Pass KYB and sanctions screening.
- Execute the Merchant Services Agreement.
- Receive written approval from Halfin's compliance team before going live.
Ongoing obligations and account security
Halfin may conduct identity, ownership, business model, and ongoing compliance verification through internal review and trusted third-party providers. No business relationship is deemed established and no Merchant Services Agreement is considered validly executed until all onboarding requirements have been fulfilled to Halfin's satisfaction.
Following onboarding, Halfin conducts ongoing monitoring, periodic risk reviews, and transaction surveillance. Merchants must promptly notify Halfin of any material change to their legal structure, beneficial ownership, business model, regulatory status, or authorized personnel. Failure to maintain accurate information may result in suspension or termination of access.
Merchants are responsible for safeguarding API keys, dashboard credentials, and any other access mechanisms. Halfin is not responsible for losses arising from unauthorized access caused by Merchant negligence, including failure to revoke access of departed personnel.
Anti-Money Laundering and Sanctions
Halfin maintains an internal AML Policy that governs its risk-based procedures for customer due diligence (CDD), enhanced due diligence (EDD), transaction monitoring, recordkeeping, sanctions screening, and suspicious activity reporting. The AML Policy is published on the Website and forms an integral part of these Terms.
By using the Services, you agree to comply with the AML Policy and to cooperate with all reasonable requests for information, including supplementary documentation, source-of-funds evidence, or risk-based inquiries. Halfin may suspend, restrict, or terminate Services without prior notice where activity is inconsistent with declared business purpose, where AML or sanctions concerns arise, or where required by law.
Halfin may report suspicious activity to relevant financial intelligence units or law enforcement agencies and is under no obligation to disclose the existence or content of such reports to Merchants.
Risk disclosure
Cryptocurrencies and digital assets involve material risks, including but not limited to:
- High price volatility and possible loss of value.
- Limited liquidity for certain assets and networks.
- Final and irreversible nature of on-chain transactions.
- Risk of loss from incorrect addresses, incompatible wallets, or unsupported smart contracts.
- Network congestion, protocol bugs, consensus failures, hard forks, or other technical disruptions.
- Evolving regulatory frameworks that may restrict, delay, or prohibit certain activities.
- Risks affecting third-party integrations such as liquidity providers, custodians, and oracles.
Finality of transactions
Transactions on supported networks are final. Halfin cannot reverse, recover, or refund payments sent to incorrect addresses, in incorrect amounts, or as a result of compromised wallets, phishing, malware, or user error. Merchants are solely responsible for verifying all transaction details before submission.
Halfin makes no representation or warranty regarding the future value, liquidity, or supported status of any cryptocurrency.
Security
Halfin implements organizational and technical security measures to protect against unauthorized access, data leakage, and cyber threats, and to maintain compliance with applicable information security obligations.
Merchants must implement appropriate access controls on their own devices and networks, including hardware security keys or strong multi-factor authentication for dashboard access, role-based permissions for API keys, and standard endpoint security. Merchants must always verify they are using the correct Halfin domain (thehalfin.com) and SSL certificate.
Halfin does not provide customer support through unofficial channels, social media direct messages, or unverified third-party platforms. Any communication purporting to be from Halfin from a channel other than @thehalfin.com email or the official dashboard should be treated as suspicious.
Liability
To the maximum extent permitted by law:
- Halfin's total liability to any Merchant for any claim arising from these Terms or the Services is limited to the fees paid by that Merchant to Halfin in the six (6) months preceding the event giving rise to the claim.
- Halfin is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption.
- Halfin is not liable for losses caused by events beyond its reasonable control, including but not limited to natural disasters, governmental acts, war, terrorism, labor disputes, power failures, internet outages, third-party service provider failures, blockchain network disruptions, or regulatory enforcement actions.
- Halfin is not liable for losses caused by third-party infrastructure (blockchain networks, node providers, liquidity venues, hosting providers, and similar).
- Halfin is not liable for the goods or services provided by Merchants to End-Users.
No fiduciary relationship
These Terms do not create a fiduciary relationship, partnership, joint venture, or agency between Halfin and any user.
Personal data
Halfin collects, uses, stores, and otherwise processes personal data as necessary to provide the Services, fulfill legal obligations, ensure security, and improve platform functionality. Categories of personal data, lawful basis for processing, retention periods, subprocessors, and user rights are described in detail in the Privacy Policy, which forms an integral part of these Terms.
By using the Services, Merchants represent that they have the legal basis to share End-User and personal data with Halfin where applicable, and that they will comply with all data protection obligations owed to End-Users and other data subjects.
Intellectual property
All content, software, APIs, source code, documentation, interfaces, designs, visuals, text, graphics, trade names, service marks, trademarks, and other intellectual property accessible through the Services or hosted on the Website ("Halfin IP") are the sole and exclusive property of Halfin or its licensors, protected under international copyright, trademark, trade secret, and related intellectual property laws.
Halfin grants Merchants a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to access and use the Services for the purpose of operating a Merchant business in accordance with these Terms.
Feedback, suggestions, or ideas submitted to Halfin may be used by Halfin for any purpose without obligation of attribution or compensation.
You may not:
- Modify, copy, distribute, sell, sublicense, lease, perform, display, reverse engineer, decompile, disassemble, translate, or create derivative works of any part of the Halfin IP except as expressly permitted in writing.
- Remove or obscure any copyright, trademark, or proprietary rights notices.
- Use automated tools, bots, spiders, scrapers, or crawlers to collect, index, or extract data from the Website or Services without prior written consent.
- Use the Services to benchmark or develop a competing product.
- Use Halfin branding (logos, trade dress, style guides, icons, custom design elements) for marketing, promotional, or third-party communications without prior written authorization.
- Misrepresent any affiliation, partnership, sponsorship, or endorsement by Halfin.
Sanctions
You confirm that neither you, your business, nor any of your beneficial owners or affiliates is subject to sanctions administered or enforced by the United States Office of Foreign Assets Control (OFAC), the United Nations Security Council, the European Union, the United Kingdom, or any other relevant sanctions authority. You confirm that no sanctions-related investigations or enforcement actions are pending against you or your affiliates.
Halfin conducts sanctions screening during onboarding and on an ongoing basis. If any sanctions concern arises, Halfin may suspend or terminate access, freeze pending transactions, or report the matter to appropriate authorities.
You must immediately notify Halfin if you, your business, or any associated party becomes subject to sanctions.
Restricted countries and activities
Use of the Services is prohibited for individuals or entities located in, incorporated in, or ordinarily resident in jurisdictions listed in the Restricted Countries policy.
Use of the Services for any of the activities listed in the Restricted Activities policy is prohibited. Both policies form an integral part of these Terms and may be updated at any time.
Any attempt to bypass geographic restrictions through VPNs, proxies, or location-masking tools constitutes a material breach of these Terms.
Suspension and termination
Halfin may suspend or terminate access to the Services at any time, with or without notice, where:
- A Merchant breaches these Terms, the AML Policy, the Restricted Countries policy, or the Restricted Activities policy.
- KYB or sanctions screening results require it.
- Halfin reasonably suspects fraudulent, deceptive, or unlawful activity.
- Continued provision of Services would expose Halfin to undue regulatory, reputational, or operational risk.
- Required by law, regulatory order, or court order.
Voluntary termination
Merchants may terminate their account at any time by following the off-boarding procedure in the dashboard. Termination does not relieve either party of accrued obligations, including settlement of outstanding fees and cooperation with ongoing investigations or regulatory requests.
Changes to the Terms
Halfin may amend these Terms at any time. Changes become effective upon being posted to the Website unless otherwise specified. Material changes will be notified by email, dashboard notification, or similar method. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must cease using the Services.
Assignment and final provisions
You may not assign or transfer any of your rights or obligations under these Terms without Halfin's prior written consent. Halfin may assign its rights or obligations without restriction.
The English version of these Terms is the controlling version in the event of any conflict with translations.
If any provision of these Terms is found to be invalid or unenforceable, the remainder remains in full force and effect.
No waiver of any provision is effective unless made in writing.
